Id Content
F1 Chatham Asset Management, LLC (the "Reporting Person") is the investment manager to certain affiliated funds (collectively, the "Chatham Funds"). Anthony Melchiorre ("Mr. Melchiorre") is the managing member of the Reporting Person. As of the date of event requiring this Form 3, the Chatham Funds hold the aggregate 2,105,387 shares of Class A Common Stock, par value $0.0001 per share (the "Common Stock"), of Fast Acquisition Corp. (the "Company") reported herein. Pursuant to Reg. Section 240.16a-1(a)(2), the Reporting Person's and Mr. Melchiorre's beneficial ownership is limited to their pecuniary interest, if any, in such securities.
F2 The warrants ("Warrants") will become exercisable at any time commencing on the later of (a) 30 days after the completion of the Company's initial business combination or (b) 12 months from the closing of the Company's initial public offering.
F3 The Warrants will expire five years after the completion of the Company's initial business combination or earlier upon redemption or liquidation.
