F2 This restricted stock unit award (the "Stock Award") was granted on March 10, 2021 to Nana Banerjee pursuant to the terms of the comScore, Inc. 2018 Equity and Incentive Compensation Plan, which Stock Award is exempt pursuant to Rule 16b-3. The Stock Award, which is prorated for partial service during the 2020-2021 director term, vested in full on June 10, 2021. Vested units will be delivered in shares of Common Stock upon a separation from service or a change in control of the Company, as set forth in the applicable award notice.
