F1 Effective as of December 23, 2024 (the "Closing"), in connection with the merger of the Issuer with and into Tortoise Energy Infrastructure Corporation ("TYG"), pursuant to the Agreement and Plan of Merger dated as of November 5, 2024, between TYG and the Issuer, TYG issued new Series H Mandatory Redeemable Preferred Shares in substitution for and replacement of the Issuer's Series F Mandatory Redeemable Preferred Shares that were outstanding immediately prior to the Closing.
