SRB is a direct, wholly-owned subsidiary of PRC and acts as investment manager to PRC and, in such capacity, may be deemed to have voting and dispositive power over the shares of Common Stock reported on this Form 4. SRB disclaims beneficial ownership of the shares of Common Stock reported on this Form 4, and this report shall not be deemed an admission that SRB is a beneficial owner of such shares for purposes of Section 16 or for any other purpose.
