Mr. Daniels sold 500 shares of Common Stock on June 20, 2023 and realized after the sale that he was required to consult with the Company before transacting. In order to return to his pre-sale position, Mr. Daniels determined to repurchase 500 shares and is disgorging to the Company the short swing profit on those transactions of $40 (calculated in accordance with Section 16 of the Securities Exchange Act of 1934, as amended).
