SBLA Latin America Fund LLC is the sole member of SBLA Investments II LLC, which is the sole member of SLA Investments IV LLC, which is the sole limited partner of SBLA Holdings (Cayman) L.P., which is the sole member of Phoenix SPAC Holdco LLC. As a result of these relationships, each of the foregoing entities may be deemed to share beneficial ownership of the securities reported herein.
