F1	As described in the issuer's registration statement on Form S-1 (File No. 333-260242), as amended, under the heading "Description of Securities-Founder Shares," the Class B ordinary shares, par value $0.0001 per share, of the issuer will automatically convert into Class A ordinary shares, par value $0.0001 per share, of the issuer at the time of, or immediately following, the issuer's initial business combination, on a one-for-one basis, subject to certain adjustments, and have no expiration date.
F2	The Class B ordinary shares beneficially owned by the Reporting Person include (i) up to 656,250 Class B ordinary shares that are subject to forfeiture to the extent the underwriters of the initial public offering ("IPO") of the issuer's securities do not exercise in full their over-allotment option as described in the issuer's registration statement; (ii) 236,486 Class B ordinary shares to be transferred to Mizuho Securities USA LLC concurrent with the closing of the IPO; (iii) 15,000 Class B ordinary shares to be transferred to Centaury Management Ltd. concurrent with the closing of the IPO; and (iv) 30,000 Class B ordinary shares to be transferred to each of the issuer's independent directors, Shrijay Vijayan, Donghyun Han and Hyunchan Cho, concurrent with the closing of the IPO.

Jin-Goon Kim is the manager of TLGY Holdings LLC, which is the manager of TLGY Sponsors LLC, and therefore, the shares beneficially owned by TLGY Sponsors LLC may be deemed to be beneficially owned by Jin-Goon Kim. Jin-Goon Kim disclaims beneficial ownership of the shares held of record by TLGY Sponsors LLC, except to the extent of any pecuniary interest therein.
