F1 Restricted stock units granted under the Hyzon Motors Inc. 2020 Stock Incentive Plan, granted on February 18, 2021 (the "Grant Date"); restricted stock units vest pursuant to a five year vesting schedule, whereby one-sixth of the total number of shares vested on the Grant Date, subject to deferral to September 22, 2021, and each year on the anniversary of the Grant Date, subject to continued employment with the Issuer.
F2 Shares of Class A Common Stock were sold in the open market solely to satisfy tax obligations of the Reporting Person in connection with the vesting of the restricted stock units. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $9.66 to $9.735, inclusive.
