F1 As described in the Issuer's Registration Statement on Form S-1, as amended (File No. 333-253569) (the "Registration Statement"), under the heading "Description of Securities," the Class B common stock will automatically convert into Class A common stock of the Issuer at the time of the Issuer's initial business combination and have no expiration date.
F2 The forfeiture of Class B common stock for no consideration is a result of the underwriters not exercising the over-allotment option in full.
