F1 This form is being filed to report the exercise of an Equity Bancshares Inc. stock option for a total of 33,000 shares by means of a stock swap. A stock swap is a method of exercising a stock option in which the option holder relinquishes enough shares of stock to cover the exercise price of the option being exercised and related withholding taxes. As a result of this stock swap, the reporting person acquired 12,924 shares of Equity Bancshares Inc. The price in column 4 is the Equity Bancshares Inc. close price as of June 1st when the option holder requested the stock swap exercise and it was approved by Equity Bancshares Inc.
F2 The option vested over five equal installments beginning on January 1, 2013.
