F1 On May 25, 2022, Laureate Education, Inc. (the "Issuer") granted to the Reporting Person an aggregate of 9,177 shares of common stock, par value $0.004 per share ("Common Stock") consisting of 2,174 shares of Common Stock and 7,003 restricted stock units ("RSUs"), as part of the Issuer's 2022 annual retainer for non-employee director service in connection with the Reporting Person's service as a member of the Issuer's Board of Directors.
F2 Each RSU represents a contingent right to receive one share of the Issuer's Common Stock. The RSUs will vest ratably in three installments at the end of each of the remaining calendar quarters of 2022, provided that Mr. Cohen continues to serve as a Director of the Issuer's Board.
F3 The Reporting Person disclaims beneficial ownership of the securities reported herein, except to the extent of the Reporting Person's pecuniary interest therein. The Reporting Person, an employee of an affiliate of CPV Holdings, LLC ("CPV Holdings"), is currently a member of the Board of Directors of the Issuer. While certain affiliates of CPV Holdings have previously made separate filings under Section 16 of the Exchange Act with respect to securities of the Issuer that they may be deemed to beneficially own, the Reporting Person disclaims beneficial ownership of any securities of the Issuer that may be deemed to be beneficially owned by affiliates of CPV Holdings.
