Footnote F1

On December 5, 2023, the Issuer announced that its Board of Directors declared a special cash dividend in the amount of $10.00 per share of its Common Stock, payable on December 21, 2023 to stockholders of record as of the close of business on December 15, 2023 (the "Dividend").

Footnote F2

Amount acquired represents dividend equivalent units accrued on restricted stock units and performance-based restricted stock units with respect to the Issuer's Common Stock (the "Original RSUs") held by the Reporting Person as a result of the Dividend. Each dividend equivalent unit is the economic equivalent of one share of the Issuer's Common Stock and entitles the Reporting Person to receive one share of Common Stock upon the settlement of the Original RSUs and is subject to same terms and conditions, including vesting and settlement, as the Original RSUs to which it relates.
