F1 Pursuant to terms of the Nonemployee Directors' Deferred Compensation Plan approved by the Board of Directors on February 11, 2000 and amended and restated on May 6, 2020, Mr. Brown elected to receive his 2008-2016 Board of Directors retainer, meeting fees and stock award in Franklin Electric Co., Inc. common stock, and in 2017-2020 his stock award in Franklin Electric Co., Inc, issuance of such shares deferred until he retires, leaves the Board of Directors, or has elected to receive such payment per the terms of the Plan (e.g. Stock Units). On June 1, 2021, Mr. Brown received the remaining portion of his deferred compensation and has elected to receive this compensation in cash.
