Bain Capital Fund VII, L.P. and Bain Capital VII Coinvestment Fund, L.P. have the right to appoint two of the three members of UWW Holdings, LLC's board of managers, which acts by majority vote. Bain Capital Europe Fund III, L.P. and Bain Capital Fund X, L.P. each beneficially own 50% of Atalaya Luxco S.a.r.l., which is the general partner of Atalaya Luxco Topco S.C.A., which wholly owns Atalaya PIKco S.a r.l., which is the general partner of Atalaya Luxco PIKco S.C.A.
