SV Life Sciences Advisers, LLC, a Delaware limited liability company ("Advisers"), is an institutional investment manager subject to Section 13(f) of the Securities Exchange Act of 1934 and the rules promulgated thereunder. SV Life Sciences Fund IV, L.P. ("SVLS IV LP") and SV Life Sciences Fund IV Strategic Partners, L.P. ("Strategic Partners IV" and together with SVLS IV LP, the "Fund IV Entities"), and International Life Sciences Fund III (LP1), L.P. ("ILSF LP1"), International Life Sciences Fund III Co-Investment, L.P. ("ILSF Co-Invest"), and International Life Sciences Fund III Strategic Partners, L.P. ("ILSF Strategic" and together with ILSF LP1 and ILSF Co-Invest, the "Fund III Entities"), and SV Life Sciences Fund V, L.P. ("SVLS V LP") and SV Life Sciences Fund V Strategic Partners, L.P. ("Strategic Partners V" and together with SVLS V LP, the "Fund V Entities"), which are each Delaware limited partnerships (the Fund IV Entities, the Fund III Entities and the Fund V Entities together, the "Funds"), directly own certain security positions reported by Advisers, which is the investment adviser of the Funds. SV Life Sciences Fund IV (GP), L.P., a Delaware limited partnership ("SVLS IV GP") is the general partner of the Fund IV Entities, and SVLSF IV, LLC, a Delaware limited liability company is the general partner of SVLS IV GP. Certain of the security positions reported by Advisers are also being reported by SVLS IV GP and SVLSF IV, LLC. Each of SVLS IV GP, SVLSF IV, LLC and Advisers may be deemed to share voting power and control over the shares held by the Fund IV Entities. Advisers may be deemed to share voting power and control over the shares held by the Fund III Entities and the Fund V Entities. Each of SVLS IV GP, SVLSF IV, LLC and Advisers disclaim beneficial ownership of the shares held by the Funds except to the extent of any pecuniary interest therein.
