Pursuant to an Agreement and Plan of Merger, dated as of June 30, 2015, by and among ACE Limited (now Chubb Limited) ("ACE"), William Investment Holdings Corporation ("William") and The Chubb Corporation ("Chubb Corp."), on January 14, 2016 William merged with and into Chubb Corp., with Chubb Corp. surviving as a wholly owned subsidiary of ACE INA Holdings Inc. ("ACE INA"), a subsidiary of ACE. On January 15, 2016, Chubb Corp. merged with and into ACE INA, with ACE INA surviving.
